Choosing a state and legal form for doing business in the United States

Doing business in the USA means access to a huge and solvent market with the second largest economy in the world, protection by American laws and a big step in opening branches in different parts of the planet.

For foreign citizens, these are also good prospects for obtaining a residence permit, a green card or even American citizenship.

In the USA, conditions, taxes and laws for business vary from state to state. Of course, the easiest way is to register a company where you plan to live or conduct business, but if you have a choice, it is better to consider different options.

What you need to consider when choosing a state:

  • requirements for company founders;
  • amount of registration fees;
  • conditions for residents and non-residents;
  • features of corporate legislation;
  • appointment of the director and managers of the company.

Also, in the States, there are different conditions for maintaining anonymity and disclosing information in the charters. For example, in Delaware, Wyoming, Florida and Nevada, the charter must have at least one director over 18 years of age, but it is not necessary to indicate all directors and managers and information about them, including age and country of residence. At the same time, in California there is no requirement to indicate information about directors and managers.

  • limited liability companies (LLC).

If you are planning to move to the USA and your business will earn money there, an LLC is best suited, and it is better to choose the state where you will be located.

If you want to launch a startup, the best option would be to open a C-Corp in the state of Delaware, whose legislation is tailored to the corporate sector.

If you want to open a company to accept payments and transfer funds to another country to avoid bureaucratic obstacles, it is best to open in the C-Corp format in Wyoming and Florida.
